Security assignment of contractual rights

A standard form security assignment of contractual rights, created by a company incorporated in England and Wales in favour of a single corporate lender.

This standard document is to be used when taking security, being a mortgage by way of assignment, over the benefit of specified contracts entered into by the company and over the benefit of specified insurance policies taken out by the company. It does not create fixed or floating charges over contractual rights.

This standard document contains integrated drafting notes and negotiating tips. For detailed information on legal issues that may arise when drafting a security assignment of contractual rights, see Drafting note, Drafting assumptions and legal issues.
